Terms & Conditions:
All works undertaken by Singapore Commercial Credit Bureau Pte Ltd (hereinafter referred to as ‘SCCB’), is subjected to the following terms and conditions, unless otherwise stated in writing.
Client agrees that by agreeing to these terms shall be binding on the Client and have the same force and effect as the signed original.
Confidentiality:
The contents of this proposal are proprietary and confidential to SCCB and may not be disclosed to third parties. SCCB and Client acknowledged that each may disclose Confidential Information to the other during the term of this agreement. Each party will treat all confidential Information of the other party with the same degree of care as it accords to its own Confidential Information.
The database records/reports supplied to Client are only for use by the specific legal entity or individual in the contract and cannot be resold and shared with any other legal entity and individual. The records are seeded and the legal entity/individual will be liable for compensation if this clause is breached.
Use of Commercial Database/Reports:
Client agrees and acknowledges that the use of commercial database records/reports supplied to Client is strictly for commercial purposes only. For the avoidance of doubt, any use of the commercial database records/reports provided by SCCB for personal purposes is strictly prohibited. It also may not be used to engage in any unlawful activity.
All information furnished to the Client by SCCB hereunder is for the exclusive use of the Client to assist, along with other information the Client may have, in the Client’s business decisions relating to other businesses. The information provided hereunder may not be used by The Client to provide advice or recommendations to others and is only for Client’s internal use.
All information furnished hereunder shall be held in confidence, shall not be copied, and shall not be revealed or made accessible in whole or in part to any others unless required by law or unless Client first obtains SCCB’s written consent; except that Client may reveal to the subject of the information that SCCB is a source of information about the subject and refer the subject to SCCB for information about what SCCB is reporting.
Accuracy:
Client acknowledges that SCCB does not and could not for the fees charged guarantee the correctness of the records. SCCB shall use reasonable endeavors to ensure accuracy of our database and reports. Sources of information are not always under the control of SCCB.
Limitation of Liability:
Client agrees to indemnify and hold harmless SCCB, as well as its officers, directors, employees and agents, against all claims, damages, loss or expenses arising from Client’s disclosure of the database records/reports outside of Client’s internal organization or from any use of the database records/reports.
Client agrees that SCCB will not be liable for consequential damages, even if advised of the possibility of such damages.
Applicable Law:
This agreement shall be governed by and construed in accordance with Singapore Law with the exclusive jurisdiction of the Courts of Singapore.
